Legal Considerations for Corporate Climate Scenario Analysis

Many companies are conducting climate scenario analysis to evaluate the financial impact of the physical risks of climate change and a transition to low carbon economy to their businesses. However, there are legal concerns related to publishing climate scenario analysis outcomes in financial filings. Greater volumes of reported information may obscure more relevant information or scenario outcomes could be misinterpreted as a forecast when many unknown factors are assumed in scenario exercises. Securities filings are governed by a legal standard of “materiality,” the parameters of which are mostly defined by case law.
